Our Commercial Counsel will lead our commercial contracting function and work directly with our customer, partner and vendor-facing teams to review, negotiate, draft and manage complex commercial agreements and related tools and processes.

Responsibilities include:

  • Lead an in-house commercial legal function through complex negotiations, prioritizing workflows and clearly communicating divisions of responsibility, deliverables, and timelines to relevant stakeholders.
  • Serve as the primary point of contact for sales, business development and other internal Snapdocs teams in commercial contracting matters.
  • Continue to implement and manage Ironclad as a contract lifecycle management tool.
  • Help the commercial team scale by preparing, implementing, and refining forms, playbooks, trainings, systems and processes
  • Draft, review and negotiate a wide variety of commercial agreements with a primary focus on SaaS agreements, our purchase of software and services agreements, NDAs and co-marketing, alliance and technical integration agreements
  • Support our sales and customer success teams in negotiating contracts with customers from start to finish and provide tactical advice to help close deals quickly and efficiently
  • Remain current on applicable laws and regulations surrounding IP, privacy, and security and conduct periodic employee training.

Qualifications required:

  • 7+ years of relevant legal experience
  • 5+ years of experience in a law firm and/or in-house legal department
  • Juris Doctor from an accredited law school
  • Member in good standing of at least one state Bar
