The Associate General Counsel role is instrumental in the success of the Legal & Compliance team at CrowdStreet and focuses primarily on the structuring and negotiation of equity financings and private securities offerings for commercial real estate and alternative investment funds. Reporting to the General Counsel, you will work closely with the capital markets, investments, operations, marketing, and compliance teams to support investment opportunities through the full investment life cycle. You will also support CrowdStreet’s investment fund offerings provided through our registered investment adviser.
Primary Responsibilities
- Play a key role in delivering quality investment opportunities to CrowdStreet investors
- Negotiate partnership and operating agreements and private offering documents, including private placement memorandums, operating agreements, and subscription agreements, working closely with our investments, investment performance, and marketplace operations teams
- Evaluate issuer structures, sponsor track records, and other due diligence materials
- Negotiate brokerage and services agreements with offering sponsors
- Draft fund formation documents, including private placement memorandums, operating agreements, and subscription agreements for proprietary investment vehicles
- Ensure securities offerings conform to CrowdStreet standards and regulatory requirements
- Manage legal review process and document management from initial sponsor contact to offering launch, through realization of investment following the full investment life cycle
- Support investment portfolio team in efforts to ensure sponsors and issuers comply with all agreements and address non-compliance
- Support investor relations and marketing in drafting external communications
- Manage complex matters independently, prioritizing multiple open matters and fast-paced processes; serve on cross-functional teams to support innovation and corporate initiatives
- Use excellent communication skills, knowledge, and judgment to regularly assess, advise, and recommend solutions to complex challenges
The Experiences and Competencies Necessary for Success
- Juris Doctor degree from an accredited law program
- Admission to practice in the state where you reside
- 7-12 years of private securities offering experience (Reg D offerings), with at least 4 years of rigorous law firm experience
- Deep understanding of offering and governance documents (PPMs, subscription agreements, limited partnership agreements and operating agreements) for complex structures
- Experience working closely with business teams with respect to financial terms, financial reporting, modeling, distribution waterfalls, target returns, and other financial aspects of commercial equity financings
- Experience with commercial real estate financing and/or JV agreements
- Experience with private investment funds, understanding of the fundamentals of the Investment Company Act exemptions
- Experience with registered investment advisors and the Investment Advisers Act requirements is a plus
- Experience with securities offerings by FINRA-registered securities brokers is a plus
